Gulf Shores Condominium Association, Inc. was formed as a not for profit corporation under Chapter 617 of the Florida Statutes. The condominium was formed in 1971 pursuant to the Condominium Act which is Chapter 718 of Florida Statutes. As a corporation, a condominium association must have a Board of Directors which assumes the responsibility of governing the community as set forth in the Articles of Incorporation, By-laws and rules under which the community operates.

Every owner should receive a copy of these documents from the seller when property in the community is purchased. They describe the processes and rules under which the community operates. All Condominium Associations are required to have at least one annual meeting at which the Board of Directors is elected. Board members are unpaid volunteers, and all members of the association (i.e. unit owners) are eligible to run for the Board. Owners of each unit shall collectively be entitled to one vote.

Gulf Shores may be managed by a board composed of three (3), five, (5) or seven (7) directors, all of whom are association members. Historically and in the present Gulf Shores has a five (5) member board. The members have staggered 2-year terms. After the election, the Board chooses from among its members a President, Vice President, Secretary and Treasurer to serve for the coming year. All meetings are open to owners. Meetings are generally held once a month; notices of meetings are posted 48 hours beforehand.

The Board of Directors will use its best efforts at all times to make decisions that are consistent with high principles, and to protect and enhance the safety and property value of all the residents.

The most important responsibility of the Board is financial: preparing a budget and collecting revenues from the residents, and spending those funds collected to maintain the property. The Association is required to prepare and annual budget which sets forth the expenditure of funds required maintaining the property and managing the Association. The annual budget will determine the fee assessment which each owner must pay for the operation of the community.

The second vital responsibility of the Board is to enforce by legal means the provisions of the Condominium Act, the Declaration of Condominium, the Bylaws of the Association and the Regulations and Rules for the use of all property in the condominium.

Owners purchase their property agreeing to abide by these covenants and are presumed to have purchased their property with full knowledge of the restrictions and responsibilities imposed by the covenants. The Board has the power and responsibility to enforce these covenants, including levying fines, imposition of liens, etc.

Management of the Association

In addition to the Board of Directors, Gulf Shores Condominium Association employs a property management company, Keys-Caldwell Inc., 1162 Indian Hills Boulevard, Venice, Florida, (941-408-8293). Jim Kraut is the property manager who oversees the Associations affairs. Key-Caldwell is a licensed property management company and handles such functions as collection of fees, management of and disbursement of funds, hiring maintenance sub-contractors, and general communication with homeowners.
